1. Scope

These terms apply to all contracts between SEO216 ("we", "us") and our clients ("Client") for SEO, content and web services. The decisive scope of work is the one agreed in writing.

2. Services

The specific scope follows from the written proposal or scope document. SEO is an ongoing service dependent on third-party systems (in particular search engines); we owe professional performance of the service, but no specific ranking or revenue outcome.

3. Term and retainers

Ongoing engagements (retainers) have an initial minimum term of 90 days. After that they continue month-to-month and may be cancelled with 30 days’ notice to the end of a month.

We deliberately do not require long minimum terms. Cancellation must be in text form (e.g. email).

4. Client cooperation

The Client provides the access, content and approvals required for the service in good time. Delays resulting from missing cooperation are not attributable to us.

5. Fees and payment

Retainers are invoiced monthly in advance; project work as agreed. Invoices are due within 14 days without deduction. All prices are exclusive of statutory VAT.

6. Intellectual property

For the work products created and paid for on the Client’s behalf (e.g. copy, site structures), we grant the Client the necessary rights of use upon full payment.

Tools, templates, frameworks and our content engine that we use remain with us and are not part of the contract.

7. Liability

We are liable without limitation for intent and gross negligence, and for damage arising from injury to life, body or health.

In cases of simple negligence we are liable only for breach of a material contractual obligation (cardinal duty) and limited to the foreseeable damage typical for such contracts. Any further liability is excluded.

8. Governing law and jurisdiction

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. Where the Client is a merchant, the place of jurisdiction is our registered office.

Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
